Position Summary:
The objective of this position is to focus on representing the Firm in connection with a variety of transactional and dispute and regulatory matters, including providing assistance to partners and other internal clients on the Firm’s client engagement letters, master services agreements, access letters, non-disclosure agreements, procurement, marketing/advertising, independent contractor and other commercial or client-facing agreements. The AGC will also help manage disputes, litigation and other regulatory matters. The AGC will leverage skills as a strategic business partner and work with colleagues and internal clients to provide creative business solutions as permitted under applicable law, professional regulations and the Firm’s policies and procedures. Essential Duties and Responsibilities:
• Oversee and manage assigned legal matters for all divisions of Loop Capital, including for the broker dealer, asset management, financial consulting and wealth management businesses.
• Lead vendor contract management initiative for firm’s vendor and SaaS providers used throughout the firm’s divisions, to proactively identify and mitigate legal risks.
• Partner with General Counsel in scaling a global legal department, developing legal operations and processes and enhancing our culture of risk-based advice and innovative solutions.

Corporate Transactions and Governance:
• Work on various corporate transactions arising in the course of Loop’s rapidly evolving business, including with outside counsel, if appropriate.
• Review, prepare, negotiate and advise on NDAs and third-party vendor contracts.
• Advise on third party disputes and provide support as needed on arbitration and litigation matters in which Loop is a party.
• Assist with the development and maintenance of form agreements, other knowledge management resources and internal guidelines.
• Work effectively with Loop’s human resources, finance, tax and other teams to facilitate their successful functioning.

• Assist in drafting agreements, resolutions, policies, procedures and other documents to implement and manage internal corporate structuring needs, human resource needs and governance initiatives.

Litigation Management:
• Work closely with Loop’s General Counsel to effectively structure, navigate and negotiate deal documents to minimize legal and operational risks while ensuring positive client experiences.
• Manage actual and potential litigation and enforcement matters, including internal reviews, subpoena compliance and investigations related to such matters.
• Manage claims and disputes by interpreting existing laws, rules and regulations, through online research and use of outside counsel, and advise on changes thereto, including labor and employment laws.
• Provide legal advice to the Board of Directors and internal business units.
• Assist the General Counsel in the selection and management of Firm’s outside counsel for all matters where outside counsel is engaged.

• 4-7 years of corporate legal experience, including at least 4-5 years at a major law firm (AM Law 100 Firm preferred).
• Juris Doctor degree from an accredited law school.
• Top academic credentials with demonstrated career progression.
• Strong background in finance and securities. Additional corporate experience, such as mergers & acquisitions is also desired.
• Experience building and maintaining external and internal relationships including with senior executives and/or law firm partners.
• Excellent judgment and initiative in developing creative, practical and effective solutions, using a business-first approach.
• Licensed to practice in State of Illinois or New York.
• Excellent interpersonal/people skills, including the ability to build relationships with highly sophisticated internal clients and to interact effectively at all levels of the organization, and enthusiasm for working as a team member.
• Excellent problem-solving, organizational and communication skills — necessary to negotiate and interface with a myriad of internal and external contacts.
• Highly organized, with committed work ethic and strong attention to detail; able to work independently and prioritize and manage multiple projects and deadlines simultaneously.
• Enterprising, highly intelligent, creative and proactive, and willing and eager to learn.
• Superior verbal and writing skills and analytical ability.
